Restaurants come up for sale in Sarnia from time to time and can be a great way to create a good job for yourself.  There are not may ways to find restaurants for sale in Sarnia as only a fraction of them are listed on MLS at any given time.  Using a well connected real estate agent is usually a great way to find the hidden gems that ordinary search’s would miss.

What to look for in a Restaurant:

  1. Sales – You need to be satisfied with the income and expenses of the Sarnia restaurant that’s for sale.  If the business is losing money it may not be worth much.  If it’s making money how much are the owners drawing in salary and how will that effect the numbers
  2. Location – Location is always key.  Is the building owned or leased?  If its a lease how much are they paying and for how long.  A short lease could be an issue if there are no renewal provisions which means you might want to negotiate with the landlord a lease extension as part of your due diligence.
  3. Equipment – Who owns the equipment?  The landlord or business owner.  Are there any liens or encumbrances that could effect title transfer.
  4. Financiability – Are the owners showing low income to minimize taxes?  Are the owners taking cash out of the business to minimize taxes?  Are there enough profits left in the business so a new owner can finance part of the cost to buy the restaurant from the owners?  It is a pretty common practice for small business owners and especially restaurant owners in Sarnia to minimize their income shown on the balance sheet for tax purposes.  This practice will lead to a lower sales price as its harder to prove sales numbers that are not on paper.  So what I usually tell clients that all those tax “savings” will hopefully make up for a lower sale price when it comes time to sell.
  5. Inventory – Real estate agents typically do not get involved with the pricing of inventory, etc so it’s best to leave this to the accountants to apply the latest accounting principles at the time of closing.  Inventory must be dealt with in the offer on whats included and excluded.
